INTRODUCTION
This NON-DISCLOSURE AGREEMENT (NDA) is entered into between [Beta Tester Name] ("Beta Tester") and MDSAI Detector PRO ("Company") as of the date the form is completed. The Beta Tester agrees to the terms and conditions outlined in this NDA with respect to receiving certain confidential and proprietary information of the Company for the purpose of testing and providing feedback on the MDSAI Detector PRO application.
CONFIDENTIAL INFORMATION
For the purpose of this Agreement, "Confidential Information" shall include all information or material that has or could have commercial value or other utility in the business in which the Company is engaged. This includes, but is not limited to:
- The functionalities, features, and user interface of MDSAI Detector PRO.
- Any bugs, errors, or usability issues encountered during testing.
- Feedback on poor or incorrect answers from MDSAI Detector PRO.
- Ideas, suggestions, and improvements provided by the Beta Tester.
OBLIGATIONS OF BETA TESTER
The Beta Tester agrees to:
- Maintain the confidentiality of the Confidential Information and not disclose it to any third party.
- Use the Confidential Information solely for the purpose of testing and providing feedback on MDSAI Detector PRO.
- Provide detailed feedback on any bugs, errors, usability issues, incorrect answers, and suggestions for improvements.
- Not reproduce, distribute, or prepare derivative works based on the Confidential Information.
FEEDBACK
The Company may use any feedback provided by the Beta Tester for the improvement and development of MDSAI Detector PRO. The Beta Tester grants the Company a non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, and incorporate any feedback provided into the Company’s products and services.
TERM AND TERMINATION
This Agreement shall remain in effect until the end of the beta testing period or until terminated by either party upon written notice. Upon termination, the Beta Tester agrees to destroy all Confidential Information received under this Agreement.
MISCELLANEOUS
- This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings.
- This Agreement shall be governed by and construed in accordance with the laws of Somerset West, Western Cape, South Africa.
- Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
ACCEPTANCE
By completing the form, the Beta Tester acknowledges that they have read, understood, and agree to the terms and conditions of this Non-Disclosure Agreement.
